These Terms of Service ("Terms") govern access to and use of the ClinicX platform, website, services, and SMS messaging program (collectively, the "Service") operated by ClinicX ("ClinicX," "we," "us," or "our").

By accessing or using https://clinicx.io, booking a demo, or opting in to receive SMS messages from ClinicX, you agree to be bound by these Terms.

If you do not agree, do not use the Service.

1. Description of the Service

ClinicX is a HIPAA-compliant healthcare software platform designed for clinics and licensed healthcare professionals to manage appointments, scheduling, and operational workflows, including integrations with third-party services such as Google Calendar. ClinicX also operates an SMS messaging program that delivers sales, onboarding, account, and support communications to business contacts at clinics who have provided express consent (see Section 18).

ClinicX does not provide medical advice, diagnosis, or treatment and does not replace clinical judgment or professional decision-making.

2. Eligibility

You must:

  • Be at least 18 years old
  • Be a licensed healthcare professional, clinic, or authorized representative
  • Have authority to use the Service on behalf of your organization

You are responsible for ensuring that your use of ClinicX complies with all applicable laws and professional regulations.

3. Account Registration & Security

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your credentials
  • You must notify ClinicX immediately of any unauthorized access or security breach
  • ClinicX is not responsible for losses caused by unauthorized account use resulting from your failure to safeguard credentials

4. Google Calendar & Third-Party Integrations

ClinicX may integrate with third-party services, including Google Calendar.

By enabling integrations:

  • You authorize ClinicX to access and process data as permitted by your consent
  • You may revoke access at any time through your account or the third-party provider
  • ClinicX is not responsible for third-party service availability, outages, or policy changes

ClinicX's use of Google data complies with the Google API Services User Data Policy, including Limited Use requirements.

5. HIPAA Compliance & Protected Health Information (PHI)

  • ClinicX operates as a HIPAA-compliant platform
  • Clinics and providers are responsible for ensuring lawful collection and use of PHI
  • ClinicX processes PHI solely on behalf of clinics and covered entities
  • Access to PHI is restricted to authorized users
  • Business Associate Agreements (BAAs) are available upon request

ClinicX does not sell, share, or monetize PHI. PHI is never transmitted through the ClinicX SMS program.

6. User Responsibilities

You agree to:

  • Use the Service only for lawful healthcare operations
  • Maintain compliance with HIPAA, GDPR, and applicable healthcare regulations
  • Ensure proper authorization for all data entered into ClinicX
  • Not transmit Protected Health Information (PHI) via SMS
  • Not misuse, interfere with, or attempt to reverse engineer the Service
  • Not upload malicious code or engage in abusive activity

7. Prohibited Uses

You may not:

  • Use the Service for illegal or unethical purposes
  • Attempt to gain unauthorized access to systems or data
  • Use ClinicX to provide medical care without proper licensure
  • Circumvent security controls or access restrictions
  • Use the Service to transmit harmful, deceptive, or infringing content

8. Fees & Payment

Certain features may require payment under a subscription or usage-based plan.

  • Fees are billed as agreed at the time of purchase
  • Payments are non-refundable except where required by law
  • ClinicX may modify pricing with reasonable notice

Failure to pay may result in suspension or termination of access.

9. Data Ownership & Rights

  • Clinics and users retain ownership of their data
  • ClinicX is granted a limited license to process data solely to provide the Service
  • ClinicX may use aggregated, anonymized data for analytics and service improvement

ClinicX claims no ownership over patient or clinic data.

10. Service Availability & Modifications

ClinicX strives for high availability but does not guarantee uninterrupted service.

We may:

  • Modify, update, or discontinue features
  • Perform maintenance or security updates
  • Temporarily suspend access for operational or legal reasons

11. Termination

ClinicX may suspend or terminate access if:

  • These Terms are violated
  • There is suspected misuse or security risk
  • Required by law or regulation

Upon termination:

  • Access to the Service will cease
  • Data will be handled in accordance with our Privacy Policy and applicable law

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

ClinicX DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

ClinicX DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

13. Limitation of Liability

To the maximum extent permitted by law:

  • ClinicX shall not be liable for indirect, incidental, or consequential damages
  • ClinicX's total liability shall not exceed the amount paid by you to ClinicX in the 12 months preceding the claim

Nothing in these Terms limits liability where prohibited by law.

14. Indemnification

You agree to indemnify and hold harmless ClinicX from claims arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of applicable laws or professional obligations

15. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to These Terms

ClinicX may update these Terms from time to time.

Continued use of the Service after changes constitutes acceptance of the updated Terms.

18. SMS Messaging Terms & Conditions

This Section 18 governs your participation in the ClinicX SMS messaging program and is incorporated into and forms part of these Terms.

18.1 Program Name

ClinicX SMS

18.2 Program Description

ClinicX (clinicx.io) operates an SMS messaging program that delivers business communications to clinic owners, administrators, and staff who have provided express consent. Messages include sales follow-ups, demo confirmations and reminders, onboarding instructions for new customers, account and billing notifications, and customer support responses.

18.3 How to Opt In

You may opt in to receive ClinicX SMS messages through any of the following channels:

  • The demo request form at https://clinicx.io/book-demo, by selecting one or both unchecked SMS consent checkboxes
  • A lead generation form served via ClinicX advertising on Meta, TikTok, or similar platforms
  • Verbal consent during a recorded sales call after the required SMS disclosure script has been read to you
  • Execution of a ClinicX service agreement containing an SMS authorization clause

Marketing consent and non-marketing (transactional) consent are collected through separate, unchecked, optional checkboxes. Neither checkbox is required to submit any ClinicX form. You may opt in to marketing messages only, transactional messages only, both, or neither.

18.4 Message Frequency

Message frequency varies. Recipients typically receive up to 8 messages per month, depending on their interaction with ClinicX and which message categories they have opted in to.

18.5 Cost

Message and data rates may apply, depending on your wireless carrier plan. ClinicX does not charge a separate fee for SMS messages.

18.6 How to Get Help

For help, reply HELP to any ClinicX SMS message, email support@clinicx.io, or visit https://clinicx.io.

Recognized HELP keywords: HELP, INFO, SUPPORT.

18.7 How to Opt Out

To opt out, reply STOP to any ClinicX SMS message at any time. You will receive one final confirmation message and no further messages will be sent to your number.

Recognized opt-out keywords: STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT.

18.8 Supported Carriers

ClinicX SMS is supported on major U.S. wireless carriers, including AT&T, T-Mobile, Verizon Wireless, US Cellular, Boost, Cricket, Metro by T-Mobile, and Google Fi.

Carriers are not liable for delayed or undelivered messages. Delivery of any particular message is not guaranteed.

18.9 Privacy

No mobile information collected through SMS opt-in will be shared with third parties or affiliates for marketing or promotional purposes at any time. For full details, see the ClinicX Privacy Policy, in particular Section 3 (SMS and Text Messaging).

18.10 Eligibility

The ClinicX SMS program is intended for business contacts at U.S. outpatient clinics who are 18 years of age or older and have provided express consent. The program is not directed to or intended for minors.

18.11 PHI Prohibition

SMS is not a HIPAA-secure communication channel. ClinicX SMS messages are limited to business communications with clinic decision-makers and do not contain Protected Health Information (PHI). You agree not to transmit PHI to ClinicX through SMS.

18.12 Modifications to the SMS Program

ClinicX may modify or discontinue the SMS program at any time, with or without notice. Continued participation in the program after any modification constitutes acceptance of the updated terms.
